Summary
The Legal Director is a key leader within the Legal department, responsible for providing expert legal counsel to the executive team and board of directors, and ensuring full compliance with all applicable laws and regulations. This role leads the development and execution of legal strategies across a complex, multi-entity enterprise, with a focus on mitigating legal risk and overseeing all facets of corporate contracting.
Acting as a strategic partner to senior leaders across the organization, the Legal Director plays a critical role in shaping high-level business decisions. They will manage both internal and external legal resources to protect the company’s interests globally, while fostering collaboration across cross-functional teams.
In addition, the Legal Director serves as a key liaison between company attorneys, outside counsel, and internal stakeholders. This role includes drafting, reviewing, and negotiating legal agreements, and providing proactive legal support to advance business initiatives and reduce potential legal exposure.
Duties and Responsibilities
- Compiles data from legal digests, encyclopedias and practice manuals.
- Assembles proofs and edits drafts of contracts, leases, licenses and insurance policies. Prepares and files legal documents with appropriate entities, as required.
- Conducts research on projects as directed by corporate attorneys. May review and ensure the company's compliance with regulations.
- Assists internally in analyzing documents.
- Counsels on progress of cases. May assist with the review and preparation of patent material and applications.
- Composes and reviews various agreements between the organization’s affiliated entities and third parties, including: service agreements, procurement agreements, consulting agreements, manufacturing agreements, non-disclosure agreements, sales agreements, licensing agreements, etc.
- Lead structuring, negotiation, and finalization of complex commercial agreements, strategic partnerships, joint ventures, and licensing arrangements.
- Oversee the implementation and optimization of contract lifecycle management systems and risk review frameworks.
- Guide the creation and rollout of negotiation playbooks, legal templates, and training for business units.
- Supports corporate agent with state business filings for group companies, including foreign qualification filings and state business licenses.
- Conducts legal research and prepares memoranda.
- Reviews and composes various corporate policies and procedure.
- Designs/implements training/presentations for internal use.
- Performs compliance audits, as necessary.
- Assists with corporate governance requirements.
- Performs other duties and responsibilities as requested by management.
Qualifications & Requirements
- Bachelor degree or higher in related field or Associates Degree from ABA approved insitution or equivalent.
- 15+ years work experience as a legal professional working in a corporate environment.
- Requires paralegal certification, law office experience and knowledge of office automation equipment/software related to activities.
- In depth knowledge of regulations (e.g., HIPAA, SEC regulations, etc.)
- Strong verbal and written communication skills.
Working Conditions
Must be able to perform essential job duties. Work is performed primarily in an office environment. Typically requires the ability to sit for extended periods of time (66%+ each workday), hear the telephone, and enter data on a computer and may also require the ability to lift up to 10 pounds.
