Summary

Provides legal assistance to corporate attorneys, acting as a liaison between company attorneys, outside counsel, organizations and in-house employees. This role includes providing strategic legal advice and ensuring compliance with applicable laws and regulations. The Senior Legal Manager will also draft, review, and negotiate legal agreements, as well as support key business initiatives to minimize legal risks. 
 

Duties and Responsibilities

  • Compiles data from legal digests, encyclopedias and practice manuals. 
  • Assembles proofs and edits drafts of contracts, leases, licenses and insurance policies. Prepares and files legal documents with appropriate entities, as required. 
  • Conducts research on projects as directed by corporate attorneys. May review and ensure the company's compliance with regulations. 
  • Assists internally in analyzing documents. 
  • Counsels on progress of cases. May assist with the review and preparation of patent material and applications. 
  • Composes and reviews various agreements between the organization’s affiliated entities and third parties, including: service agreements, procurement agreements, consulting agreements, manufacturing agreements, non-disclosure agreements, sales agreements, licensing agreements, etc.
  • Lead the negotiation, drafting, and review of a wide range of contracts, including commercial agreements, partnerships, vendor contracts, and licensing agreements.
  • Supports corporate agent with state business filings for group companies, including foreign qualification filings and state business licenses.
  • Assists with the establishment of an organization-wide contract lifecycle management system/database.
  • Prepares contract negotiation “playbooks” for internal use.
  • Conducts legal research and prepares memoranda.
  • Reviews and composes various corporate policies and procedure.
  • Designs/implements training/presentations for internal use.
  • Performs compliance audits, as necessary.
  • Acts as corporate secretary for group companies, organizing board and shareholder meetings, taking minutes of meetings, drafting and arranging for circulation of written consents and performing other tasks consistent with the role of Corporate Secretary.
  • Assists with corporate governance requirements.
  • Performs other duties and responsibilities as requested by management.

Qualifications & Requirements

  • Bachelor degree or higher in related field or Associates Degree from ABA approved insitution.
  • 12+ years work experience as a legal professional working in a corporate environment.
  • Requires paralegal certification, law office experience and knowledge of office automation equipment/software related to activities.
  • In depth knowledge of regulations (e.g., HIPAA, SEC regulations, etc.)
  • Strong verbal and written communication skills.

Working Conditions

Must be able to perform essential job duties.  Work is performed primarily in an office environment. Typically requires the ability to sit for extended periods of time (66%+ each workday), hear the telephone, and enter data on a computer and may also require the ability to lift up to 10 pounds.
